Investment Strategy Committee

Established as the principal investment committee and comprised of the full Board, the Investment Strategy Committee is responsible for establishing investment policies, standards, and procedures. It reviews, approves, and monitors Sadoxis Capital Management’s long-term investment strategy, approves select investment transactions, and sets the framework for engaging external investment managers.

Audit Committee

The Audit Committee oversees financial reporting, external and internal audits, information systems, and internal control policies and practices to ensure transparency and accountability in financial management.

Human Resources and Compensation Committee

Formed to advance strong governance and organizational excellence, the Human Resources and Compensation Committee reviews and recommends the company’s compensation philosophy, oversees the CEO’s performance evaluation process, ensures succession planning is in place, and reviews overall organizational structure.

Governance Committee

This committee is responsible for recommending governance policies, guidelines, and procedures; evaluating the effectiveness of the Board; monitoring adherence to the Code of Conduct and conflict-of-interest policies; and carrying out other governance responsibilities as assigned by the Board.

Risk Committee

The Risk Committee assists the Board in overseeing the company’s risk management framework. It reviews and recommends the Integrated Risk Policy, monitors the firm’s risk profile relative to its risk appetite, and assesses key current and emerging risks.

From time to time, the Board may form ad hoc committees to address specific matters requiring focused or immediate attention.
